Definition<\/strong>
Worker buyouts refer to processes in which the ownership of an enterprise is partially or fully transferred to its employees through purchase or takeover, and subsequently reorganised on a collective basis. In this model, workers become both owners and managers of the enterprise.<\/p>\n\n\n\n

Scope<\/strong>
Worker buyouts typically emerge in situations of crisis, bankruptcy, or imminent closure. These processes are realised through the mobilisation of workers\u2019 individual or collective resources and, in some cases, through access to public support mechanisms. The enterprises taken over are often reorganised as cooperatives.<\/p>\n\n\n\n

Distinction<\/strong>
Worker buyouts differ from other forms of collective production in the following ways:
Ownership is acquired through formal purchase or transfer mechanisms.
The process generally takes place within legal and institutional frameworks.
Market relations and competitive pressures remain structurally significant.
In this sense, unlike worker self-management or factory occupations, worker buyouts are often considered a more institutionalised and market-embedded model.<\/p>\n\n\n\n

Historical example
<\/strong>Institutionalised forms of worker buyouts include the Sociedades Laborales in Spain, cooperatives established under Italy\u2019s 1985 Marcora Law, the SCOP (Soci\u00e9t\u00e9s Coop\u00e9ratives de Production) model in France, and the ESOP (Employee Stock Ownership Plan) system in the United States. These models provide important frameworks for worker participation in enterprise ownership across different national contexts.<\/p>\n\n\n\n

Evaluation<\/strong>
Worker buyouts offer an important alternative for preserving employment and ensuring business continuity. However, market conditions, financing requirements, and managerial challenges constitute key constraints.
